MyMemo Affiliate Program Terms
Introduction
These Affiliate Program Terms (the “Terms”) govern participation in the MyMemo affiliate program (the “Program”) operated by MyMemo AI LLC (“MyMemo,” “we,” “us,” or “our”). They form an agreement between MyMemo and the individual or entity accepted into the Program (“you” or “Affiliate”).
By applying to the Program, accepting an approval, or using a MyMemo referral link, you agree to these Terms. Your use of MyMemo itself remains governed by ourUser Agreement and Privacy Policy; these Terms apply in addition to them and control in the event of a conflict as to the Program.
Individual commission rates and commission windows are agreed separately with each Affiliate. Where an individual agreement states a specific rate or window, that agreement controls within the limits set out below. All amounts in these Terms are in U.S. dollars.
1. Eligibility and Application
The Program is application-based. There is no automatic or self-service enrollment, and submitting an application does not create a right to participate.
- You must be at least 18 years old, or the age of majority where you live, and able to enter into a binding contract.
- You must hold a MyMemo account in good standing. Your referral attribution and your commission ledger are tied to that account.
- Each application is reviewed manually. We may approve, decline, or request further information at our discretion, and we are not required to give reasons for a decision.
- You must provide accurate information about your promotional channels, audience, and promotional methods, and keep that information current if it materially changes.
- Approval applies to you and to the channels you disclosed. You may not transfer, sell, sublicense, or assign your participation, your referral link, or accrued commission to anyone else.
Participation begins on the date we notify you that your application is approved. Referrals and payments that occurred before that date are not eligible for commission, including referrals you made previously as an ordinary MyMemo user under the invitation feature.
2. Referral Links and Attribution
On approval you receive a referral link containing a code tied to your MyMemo account. Attribution of a referred user to you is determined solely by our own tracking, as follows.
- 60-day cookie — when a visitor follows your referral link, we record the referral in a cookie that expires 60 days after the click.
- Last click wins — if the visitor follows another affiliate’s link before signing up, the most recent referral replaces the earlier one for the remainder of the window.
- Attribution occurs at web signup — a referral is recorded permanently only when the visitor creates a MyMemo account through the web while the referral cookie is present. Accounts created directly in the MyMemo iOS or Android applications, or through any other route that does not carry the referral, cannot be attributed. It is your responsibility to direct your audience to web signup.
- Attribution is permanent and exclusive — once an account is attributed to an Affiliate, that attribution does not change, cannot be reassigned, transferred, or overwritten by a later referral, and does not survive if the account is deleted.
- All later channels count — after an account is attributed to you, qualifying payments made by that user count toward your commission regardless of where they were made, including subscriptions purchased inside the iOS application.
Visitors may block, clear, or refuse cookies, and browsers and devices may restrict cross-site tracking. We do not guarantee that every visit resulting from your promotion will be attributed to you, and we do not make manual attribution adjustments for clicks we did not record.
3. Commission
Commission is a percentage of the qualifying payments made by users attributed to you. It is recurring, meaning it applies to renewal payments as well as first payments, for the duration of the commission window.
- Rate — your commission rate is agreed individually and is recorded in your Affiliate profile. Rates are negotiated case by case and may not exceed30% under any circumstance.
- Commission window — commission accrues on qualifying payments made during the first 6 to 12 months following a referred user’s first qualifying payment. The exact length is set in your individual agreement. Payments made after the window closes do not earn commission.
- Basis: net revenue — commission is calculated on net revenue, meaning the amount MyMemo actually receives for the transaction after payment-processing fees and, for purchases made through a mobile application store, the store’s commission. It is not calculated on the list price or on the amount the customer paid.
- Rate is fixed at the time of the payment — each commission entry records the rate in force when the payment was received. If your rate changes later, the change applies to subsequent payments only and is not applied retroactively.
- Annual and multi-period payments — a payment is assessed at the time it is received. A qualifying payment received inside the commission window earns commission on its full net amount even if the period it covers extends beyond the window.
Commission is recorded in a ledger available to you. Ledger entries created for a payment are held for a maturation period before becoming payable, as described in Section 5.
4. Excluded Transactions
The following do not earn commission, and any commission recorded for them may be voided or reversed:
- Redemptions of lifetime, promotional, or marketplace codes, including AppSumo codes, and any entitlement granted through a marketplace or reseller rather than paid to MyMemo directly.
- Transactions with no net revenue to MyMemo, including free plans, $0 orders, trial periods, gifted or complimentary months, credits issued by MyMemo, and months granted through the ordinary user invitation feature.
- Purchases made by you, on an account you control, or on an account created by you using an alias, a variant of your own email address, or the payment method associated with your account (self-referrals).
- Purchases by users who were already attributed to you before your approval into the Program, or who were attributed to another Affiliate.
- Payments that are refunded, reversed, charged back, disputed, or otherwise not ultimately collected, as described in Section 7.
- Transactions arising from activity that violates Section 8, whether or not the transaction would otherwise qualify.
- Sales taxes, VAT, and similar amounts collected on our behalf, which are excluded from the commission basis.
5. Payment Terms
Commission becomes payable as follows.
- Maturation period — each commission entry is held in a pending state for30 days from the date of the underlying payment. This aligns the Program with our refund window. Entries not reversed during that period are approved and become eligible for payout.
- Monthly payouts — approved balances are paid in a monthly payout run.
- Minimum payout — a payout is issued only when your approved balance is at least$50. Balances below the minimum roll over to the following month until the threshold is met.
- Payout method — payouts are made through Stripe Connect. You must complete Stripe’s onboarding, including its identity verification and tax-form collection, before any payout can be made. Where Stripe payouts are not supported in your country, we may offer PayPal as an alternative. Where you are also a paying MyMemo subscriber, we may offer the option to apply your balance as subscription credit instead of a cash payout.
- Your details are your responsibility — you are responsible for the accuracy of the payout details you provide. We are not liable for funds sent to an incorrect account you supplied, and we may withhold payouts while payout or tax details are missing, incomplete, or unverified.
- Fees and currency — payouts are denominated in U.S. dollars. Cash payouts, whether made through Stripe or PayPal, are subject to a payout-processing fee that covers the payment processor’s charges for the transfer; that fee is borne by you and is deducted from the payout amount. The fee schedule in force is shown on your affiliate dashboard before a payout is made, and we may change it on notice given there. Converting your commission balance to MyMemo subscription credit carries no such fee. In addition, fees charged by your bank or payment provider, currency conversion costs, and any charges arising from returned or rejected transfers are yours to bear.
- Queries — commission and payout queries must be raised within 60 days of the payout in question. After that period the relevant statements are treated as final, except where applicable law provides otherwise.
Unclaimed balances on an account that has been inactive for twelve consecutive months, or on an Affiliate account we cannot reach at the contact details on file, may be forfeited to the extent permitted by applicable law.
6. Taxes
You are solely responsible for determining, reporting, and paying all taxes arising from amounts you receive under the Program. Nothing in these Terms is tax advice.
MyMemo AI LLC is a United States entity. You must provide the tax documentation we or our payment providers reasonably request, including an IRS Form W-9 if you are a U.S. person or the applicable Form W-8 series if you are not. If you are a U.S. person and we pay you $600 or more in a calendar year, we or our payment provider may be required to issue an IRS Form 1099-NEC. We may withhold amounts from payouts where required by law, and we may suspend payouts until the required documentation is provided.
7. Refunds, Chargebacks, and Clawbacks
Commission is earned only on revenue we ultimately keep. If an underlying payment is refunded, reversed, charged back, disputed, or otherwise not collected, the related commission is reversed.
- If the commission entry is still pending or approved but unpaid, it is cancelled and does not enter a payout.
- If the commission has already been paid out, an offsetting entry is recorded against your balance and deducted from future payouts. Your balance may go negative and carries forward until it is offset by later commission.
- We may also reverse or void commission that arose from fraud, abuse, self-referral, or any breach of Section 8, and we may withhold payouts pending an investigation into such activity.
- A sustained rate of refunds, chargebacks, or payment disputes among the users you refer that is materially above the Program norm may result in suspension pending review.
In the ordinary course we do not pursue you for a negative balance after your participation ends; we reserve the right to recover amounts paid on the basis of fraudulent or prohibited activity.
8. Promotional Conduct and Prohibited Activities
You may promote MyMemo through your own channels — for example a newsletter, blog, video channel, podcast, course, or community — using accurate descriptions of the product. The following are prohibited, and engaging in them is grounds for immediate suspension, forfeiture of pending commission, and removal from the Program:
- Brand bidding — bidding on, or purchasing, paid search or advertising keywords consisting of or confusingly similar to “MyMemo,” “MyMemo AI,” “mymemo.ai,” or misspellings of them, and directing that traffic to your referral link or to any page designed to intercept traffic intended for us.
- Impersonating official channels — operating coupon, discount, deal, or “review” properties that present themselves as MyMemo, as an official MyMemo channel, or as offering an official MyMemo discount; advertising coupon codes, discounts, trials, or pricing that we have not published or authorized.
- Self-referral — using your own referral link for your own purchase, purchasing through an account you control or that was created for this purpose, arranging for rebates or cashback in exchange for signups, or coordinating with others to do the same.
- Spam and unsolicited messaging — distributing your referral link through unsolicited email or messages, bulk comment or forum posting, direct-message blasts, automated posting, or any channel that violates applicable anti-spam law or a platform’s own rules.
- Misleading claims — making statements about MyMemo’s features, pricing, performance, security, data handling, availability, or affiliations that are false, exaggerated, or unsupported; fabricating testimonials, reviews, endorsements, or metrics; or implying a partnership, employment, sponsorship, or endorsement relationship that does not exist.
- Artificial or automated traffic — generating clicks, signups, or conversions by bots, scripts, click farms, incentivized-click schemes, traffic exchanges, cookie stuffing, forced clicks, iframe or pop-under injection, browser extensions that rewrite referral parameters, or any other means of recording a referral that a person did not actually and knowingly make.
- Unlawful or harmful placement — promoting MyMemo on properties containing illegal content, malware, adult content, hate speech, harassment, or content that infringes the rights of others; or promoting in a way that violates applicable law, including advertising, consumer-protection, privacy, and export-control law.
- Link and domain misuse — masking, cloaking, or redirecting your referral link in a way that conceals its origin; registering domain names, application names, or social accounts containing our marks; or bidding on or otherwise acquiring traffic intended for our own advertising.
9. Disclosure Requirements
Wherever you post a referral link or otherwise promote MyMemo under the Program, you must clearly and conspicuously disclose that you have a material connection with MyMemo and may earn a commission. The disclosure must be plain, in the same language as the content, and placed where the audience will see it before acting on the link — not only in a page footer, a hidden panel, or a link description.
You are responsible for complying with the U.S. Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising, and with any equivalent advertising disclosure rules that apply where you or your audience are located, as well as with the disclosure rules of any platform you post on. Undisclosed promotion is a breach of these Terms.
10. Use of the MyMemo Brand
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the MyMemo name, logo, and marketing materials we make available, solely to promote MyMemo under the Program and only in the form we provide them. You may not alter our marks, combine them with your own to form a new mark, or use them in any way that suggests you are MyMemo, speak for MyMemo, or are endorsed by MyMemo beyond your participation in the Program. All goodwill from your use of our marks accrues to us, and this licence ends automatically when your participation ends.
11. Suspension and Termination
Either party may end participation in the Program at any time, for any reason, on written notice, including by email. We may also suspend an Affiliate account immediately, without prior notice, where we reasonably suspect fraud, abuse, or a breach of these Terms.
- On termination, your referral links stop earning commission and your licence to use our marks ends. You must stop presenting yourself as a MyMemo affiliate and remove or disable your referral links within a reasonable period.
- Where participation ends without a breach by you, commission that has already been approved and has reached the minimum payout threshold will be paid in the ordinary monthly run; pending commission continues to mature and is paid if it is not reversed.
- Where we terminate for fraud, abuse, or breach of Section 8, we may void all pending and approved but unpaid commission.
- Sections concerning excluded transactions, refunds and clawbacks, taxes, brand use, relationship of the parties, and any provision that by its nature should survive, continue to apply after termination.
We may also modify, suspend, or discontinue the Program as a whole at any time. If we discontinue the Program, we will give reasonable notice and pay approved commission accrued up to the closing date in accordance with Section 5.
12. Relationship of the Parties
You participate in the Program as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint-venture, or franchise relationship between you and MyMemo. You have no authority to make commitments, give warranties, or incur obligations on our behalf, and you are responsible for your own costs, personnel, and equipment.
The Program is provided on an “as is” basis. We do not warrant that tracking, reporting, or the Program itself will be uninterrupted or error-free, and we are not liable for indirect, incidental, or consequential losses, or for lost profits or anticipated commission, arising from your participation. Our total liability in connection with the Program is limited to the commission properly payable to you under these Terms.
These Terms are governed by the laws of the State of California, and each of us irrevocably submits to the exclusive jurisdiction of the federal and state courts of the State of California to settle any dispute or claim arising out of or in connection with the Program, consistent with the governing-law provision of ourUser Agreement.
13. Changes to These Terms
We may update these Terms from time to time, for example to reflect changes to the Program, our payment providers, or applicable law. The current version is always published on this page with the date it was last updated. Where a change materially affects your commission rate, commission window, or payout terms, we will give you notice by email before it takes effect.
Changes apply prospectively. Commission already recorded before a change takes effect is settled under the terms in force at the time it was recorded. Continuing to promote MyMemo under the Program after a change takes effect means you accept the updated Terms; if you do not accept them, stop using your referral links and notify us so we can close your Affiliate account.
